The advisory services provided during an M&A transaction can be given on the buy-side or the sell-side. Change of ownership, can be through a strategic and/or financial partnership.

M&A transactions are complex, long-lasting, and highly technical where the success of the transaction depends on the know-how of the team as well as their dedication to the successful completion.

OYAK Securities corporate finance team has in-depth experience in M&A transactions. During the years 2002-2005 OYAK Securities has provided advisory services to four sell-side transactions in diverse sectors as well as buy-side advisory services to OYAK and various other group companies. During the year 2006 Oyak Securities has provided sell-side advisory service to OYAK for Elazığ Cement project.

Sell-side advisory is a detailed and technical process that involves all kinds of services from the preparation period till its closure.

The advisory services provided during the preparation period include determining potential strategic or financial investors that fit with the needs of the client as well as their strategy, doing a thorough study regarding the company's operations and writing an information memorandum, valuing the operations of the company and advising on the restructuring of the company during the pre-sales period and its application.

OYAK Securities' responsibilities include determining potential investors and contacting them, organizing the correspondence between potential investor(s) and the client and advising on the strategies to be followed during the negotiations.

Towards closure, the structure of the sales, price and payment schedule is finalized and the correspondence between the client and the legal and financial advisors are coordinated till the transaction is closed.

Buy-side advisory, involves determining the acquisition strategy, conducting a pre-valuation for the target company, preparing a non-binding offer, coordinating the analysis in addition to being present at each step from the preparation till the closure of the project.
